On April 30, COSCO Shipping Specialized Carrier Co. Ltd. released the Announcement on Mr. Chen Wei’s Resignation of Chairman of the Board of Directors and Other Positions of the Company.
The announcement disclosed that Mr. Chen Wei proposed to resign from the chairman and director of the strategic decision-making Committee of the Board of Directors of COSCO Shipping Specialized Carrier due to the reason of job adjustment. Mr. Chen Wei has confirmed that he has no differences of opinion with the Company and the Board of Directors of the Company and has no other matters relating to his resignation to inform the shareholders of the Company. After resigning from the above positions, Mr. Chen Wei will no longer hold any position in the Company.
COSCO Shipping Specialized Carrier indicated that according to the Company Law, the Articles of Association (AoA) and other relevant regulations, Mr. Chen Wei’s resignation letter shall take effect upon its delivery to the Board of Directors of the Company. And his resignation will not cause the number of board members of the company to be lower than the legal minimum, and will not affect the normal operation of the Board of Directors of the company..
The Company will complete the election of the Company’s director, chairman of the board of directors and members of the specialized committees of the board of directors as soon as possible in accordance with relevant regulations.
From now on until the election of the new chairman, Mr. Huang Nan, director and general manager of the Company, shall perform the duties of chairman on behalf of the company.
